Terms of Service

1. Agreement

By creating an account or using ClawMetry Cloud ("the Service"), you agree to these Terms of Service ("Terms"). The Service is provided by Instalabs LLC ("we", "us", "Company"), registered at 1309 Coffeen Avenue STE 1200, Sheridan, WY 82801, United States.

If you do not agree to these Terms, do not use the Service.

2. The Service

ClawMetry Cloud is a cloud-hosted observability dashboard for AI agents. It provides:

• Real-time monitoring of AI agent sessions, events, and system health
• End-to-end encrypted data sync from your machines to the cloud dashboard
• Multi-node fleet management
• An open-source self-hosted option at no cost

We continually improve the Service. New features developed in the open-source project will be made available to cloud subscribers at no additional cost within the same pricing tier.

3. Accounts

• You must provide a valid email address to create an account
• You are responsible for maintaining the security of your account credentials and encryption keys
• You must be at least 16 years old to use the Service
• One person or legal entity per account. Accounts cannot be shared.
• You are responsible for all activity under your account

4. Pricing & Payment

• Free trial: New accounts receive a 7-day free trial with full functionality. No credit card required.
• Subscription: After the trial, continued use requires a paid subscription billed monthly per node.
• Payment: All payments are processed securely by Stripe. We do not store your payment card details.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused time within a billing cycle.
• Price changes: We will notify you by email at least 30 days before any price increase. Existing subscribers will be grandfathered at their current rate for at least 90 days after notification.

5. Your Data

• Ownership: Your data is yours. We claim no ownership or intellectual property rights over any data you transmit through the Service.
• Encryption: All agent data is end-to-end encrypted on your machine before transmission. We cannot access, read, or decrypt your agent data. See our Privacy Policy for details.
• Portability: You can export your data at any time. The open-source self-hosted version ensures you are never locked in.
• Deletion: Upon account deletion, all your data (encrypted and unencrypted) is permanently removed within 30 days.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable law
• Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure
• Reverse engineer, decompile, or attempt to extract the source code of the cloud-specific components (the dashboard itself is open source)
• Use the Service to transmit malware, spam, or other harmful content
• Exceed reasonable usage limits that would degrade the Service for other users
• Resell or redistribute the Service without our written permission

7. Service Availability

• We target 99.5% uptime for the ClawMetry Cloud service, measured monthly
• Scheduled maintenance windows will be announced at least 24 hours in advance when possible
• We are not liable for downtime caused by factors outside our control, including internet outages, cloud provider incidents, or force majeure events
• The open-source self-hosted version is always available as a fallback regardless of cloud service status

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied
• We do not warrant that the Service will be uninterrupted, error-free, or completely secure
• Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business opportunities

9. Indemnification

You agree to indemnify and hold harmless Instalabs LLC, its officers, directors, and employees from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the Service or violation of these Terms.

10. Termination

• By you: You may cancel your account at any time through the dashboard or by contacting support@clawmetry.com
• By us: We may suspend or terminate your account if you violate these Terms, with notice when reasonably possible
• Effect: Upon termination, your right to use the Service ceases. Your encrypted data will be deleted within 30 days.
• Survival: Sections 5 (Your Data), 8 (Limitation of Liability), 9 (Indemnification), and 12 (Governing Law) survive termination.

11. Changes to Terms

We may modify these Terms from time to time. Material changes will be communicated via email at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

13. Open Source

The ClawMetry dashboard is open source under the MIT License. These Terms apply only to the ClawMetry Cloud hosted service, not to self-hosted deployments of the open-source software.
